These Terms of Service ("Terms") govern your access to and use of the StateRates website (staterates.health) and API (api.staterates.health), operated by State Rates Health, LLC ("StateRates," "we," "us"). By using the service, you agree to these Terms. If you do not agree, please do not use the service.
If you have executed a separate Data License Agreement ("DLA") with us, the DLA governs the terms of your data license, and anything the DLA does not address is governed by these Terms. Where the two conflict, the DLA prevails.
Accounts and API keys are provisioned manually by StateRates. There is no self-serve sign-up. You are responsible for the accuracy of the information you provide during provisioning, for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account.
You must notify us promptly if you suspect your credentials or an API key have been exposed. We may revoke an API key at any time if we reasonably believe it has been compromised.
Subject to these Terms, and subject to any DLA you have signed with us, we grant you a limited, non-exclusive, non-transferable, revocable license to:
You may not redistribute, sell, sublicense, or otherwise make the content or data returned by the service available to third parties except as expressly permitted in a DLA.

API access is subject to rate limits, quotas, and other usage restrictions, which we may set, adjust, or enforce at our discretion with reasonable notice. All API keys are subject to time limits and may be revoked or rotated at our discretion, including when we reasonably believe a key has been compromised or these Terms have been violated.
You are responsible for all API calls made with your key, including calls made by services or individuals you have granted access.

StateRates compiles information from publicly available state Medicaid sources. While we take reasonable care to keep the information accurate and current, we do not guarantee its accuracy, completeness, timeliness, or fitness for any particular purpose. The service is provided for reference only and is not a substitute for the official state publications from which the information is derived.
You are responsible for verifying information against official state publications before using it to bill, contract, reimburse, or make any other financial or operational decision. Do not rely on the service as the sole source of truth for any reimbursement, contracting, or compliance decision.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STATE RATES HEALTH, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR COSTS OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
You agree to defend, indemnify, and hold harmless State Rates Health, LLC and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) any content or data you submit to the service.
The service, including the website, API, software, interface, and the compilation of content and data made available through the service, is owned by State Rates Health, LLC and protected by intellectual property laws. Nothing in these Terms transfers any ownership interest to you.
The underlying fee schedule data is published by state Medicaid programs and is not owned by State Rates Health, LLC. Your rights to use the content and data made available through the service are defined by §2 and any DLA you have signed.
The service relies on third-party providers (listed in our Privacy Policy) to operate. We are not responsible for the availability, accuracy, or content of third-party services or any websites linked from the service.
We may suspend or terminate your access to the service at any time, with or without notice, if you violate these Terms, if we reasonably believe your account has been compromised, or if we are required to do so by law. You may stop using the service at any time.
Sections 2 (to the extent licenses granted to you terminate), 3, 4, 5, 6, 7, 8, 9, 12, 13, and 14 survive termination.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the service must be brought in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. For material changes, we will notify account holders by email or through the service. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
